I suspect so. I think the deal closed. The registration agreement is not what the securities were offered under. This was a private placement under rule 144, with securities offered under a private placement memo, and Merrill has either found buyers or is buying them for resale. The registration agreement requires the registration of the notes and stock in the hands of the holders, facilitating their later sale, should they care to do so.
