You are simply confused or attempting to confuse. The shares you speak of are free trading shares that are bought and sold publicly.

The company stated that the 2 Billion shares were sold to the fundacion as restricted shares which are not tradable on the U.S. market. In other words it was a private placement. The Fundacion sold those shares to investors in Panama as PDR's at .04 which needed to be held for 2 yrs. Any sale of PDR's or of restricted shares sold by the company will not show up in daily transactions.

Private Placement

What does it Mean? Raising of capital via private rather than public placement. The result is the sale of securities to a relatively small number of investors. Investors involved in private placements are usually large banks, mutual funds, insurance companies, and pension funds.

Investopedia Says... Since a private placement is offered to a few, select individuals, the placement does not have to be registered with the Securities and Exchange Commission. In many cases detailed financial information is not disclosed and a the need for a prospectus is waived. Finally since the placements are private rather than public, the average investor is only made aware of the placement usually after it has occurred.
