Did you file your 13D? I've not seen it.
I believe the threshold in the US is 5% for beneficial ownership (which includes indirect ownership through contracts, trusts, agreements, arrangements, family members, an investment vehicle you influence, and more).

But maybe I'm wrong. I'm the just the geologist who can attest Balfour is worthless...
