Hi Namtae,  Interesting question.  If ownership of Mikah changes, but nothing else changes, I am unsure if that would have to be disclosed.  It's a bit of a gray area.  Before and after the transaction Elite's partner would be Mikah with the terms unchanged.   Is it material if ownership of Mikah changed?
