Well, BFCH acquired the Evermind asset from a company the CEO owns but not the company. It's an asset purchase. That's a good deal for BFCH. All the liabilities and any debts incurred by developing the product are left in that other company, BFCH gets the drink brand, the formulations, the IP etc.
