The following resolution was unanimously approved by the disinterested directors of the Board of Directors (Board) of Capstone Companies, Inc., a Florida corporation, (Company) by a vote at a Special Meeting of the Board held on 31 December 2020, by a conference call in which all attending persons could hear and be heard by all other attending persons. Attending the meeting were: (1) Company Directors: Stewart Wallach, Jeffrey Postal, Jeffrey Guzy, James McClinton and Larry Sloven; and (2) Aimee C. Brown (Gaudet), Corporate Secretary and Paul W. Richter, an outside legal counsel.
