I thank you TJ for your response and I agree with your logic that you have based your theory on. I see it as a possibility & hope you are right...I so hope you are right...we don't want this lingering into 2027...LOL

Because in my opinion based on the amount of the convertible and the interest that was due there should be very little if any of the Legacy debt left to pay off. Remember the deal for MTi to take over was drawn up and the terms for the deal were drawn up as soon as Affluence and MTi concluded that Affluence was going to acquire MTi.... At no time during the discussions they had prior to the announcement of AFFU making the acquisition was there any doubt that MTi would at some point become the company in control of Affluence.

If we go back to the Durham Black deal, Durham acquired control of Affluence and they to had a clause similar to the MTi clause. If Durham could not raise around $24,000,000.00 then the deal would be terminated. That deal was as this one is, another company would get control of AFFU, Durham could not raise the money so the deal died. So the move the deal over to MTi...with full knowledge of MTi taking control when all of the stipulations were met.

I am saying mid 2026 which would make it the end of the 2nd Quarter and there will again in my opinion be no legacy debt remaining. Its going to take the better part of first and second quarter for all of the transfer of power to move from Affluence a U.S company to MTi a company registered in Spain. As we have all seen over the years getting a reverse merger to the finish line is very time consuming... It will begin in Jan of 2026 and be completed by mid June.

The other thing that needs to be remembered is the filing with the Colorado S of S clearly says ALL LEGACY DEBT, it does not say that Affluence must be Debt Free. There is a difference between the two, Legacy is debt that is long term or past obligations that holds a time line in years. Long term debt is considered debt that is most often due with in a 12 months span.

Also there is nothing that says this deal can not be done prior to April/May of 2027... it does however say it can not go beyond that time line with out being reworked and all parties agreeing to an extension. I just dont see this taking much longer than the end of June to be completed.
