But this is not the way this should happen. Hiru should not be moving forward until this legal issue is; was resolved first.

Something is a miss here. Some DD was not done, or something was not disclosed as now this makes it messy. Not saying they can't resolve it. Logically you don't invest in a property when a company is making a legal claim to it in court; to repossessed it, to then likely auction it off as a debt collection.

13. On May 13, 2024, NES RZ filed a mineral lien in the amount of $90,822.82 against
Falcon’s property interest in the Wellsite and the Rasberry Unit in the Real Property Records of Foard
County, Instrument #75508 (the “Lien”).


25. Having received no payment on the Invoices after issuing multiple demands for the
same, on December 17, 2024, NES RZ filed a mineral lien against Falcon Owner’s property interest
in the Wellsite and the Rasberry Unit in the Real Property Records of Foard County, Texas.
26. A lien under the provisions of Chapter 56 of the Texas Property Code has been
secured against the interest of Falcon Operator and Falcon Owner in the Property as evidenced by a
statement of NES RZ, verified by affidavit, together with exhibits, as required by Sections 56.021 and
56.022 of the Texas Property Code. These documents were filed in the office of the County Clerk of
Foard County, Texas and recorded at Instrument # 75508. In this suit, NES RZ seeks foreclosure of
its lien.




This lien from 2024 is publicly recorded in the Foard County Real Property Records. In standard business and legal practices involving real property or mineral rights transactions, conducting thorough due diligence is a critical step. This typically includes a comprehensive title search to identify any existing liens, or claims against the property interest being acquired. This lien was discoverable.


Again maybe I am missing something, If so I apologize in advance. If not, to be honest there was a lack of professional work done here and I can't see that lawyers were used for this transaction. I doubt there are aware of this but will be. Fixable at a cost. Costly mistake perhaps. This is an opinion only.
