Agree on everything. His attempt at contradiction, is merely semantics. And as I've said many times, I believe they are just waiting on the legacy debt to be paid off, then the R/S will happen. They buy these shells as a cheaper way to go public, but they're cheap because they are dirty/debt and have to be cleaned up.
