As part of the Termination Agreement, HUMBL received an option to purchase 51% of Multicortex for $3,000,000 exercisable for a period of one year. In addition, HUMBL’s obligation to pay 15% of Regulation A+ proceeds to Multicortex was terminated. HUMBL believes that the Termination Agreement is a superior option to the Joint Venture Agreement because it still provides HUMBL the ability to purchase a controlling interest in Multicortex, but with the added flexibility of full control of any proceeds from a Regulation A+ offering and more time to evaluate Multicortex’s business prospects. The HUMBL common shares issued to the founders of Multicortex will also be cancelled as part of the Termination Agreement. In addition, the parties agreed in the Termination Agreement that HUMBL would continue to provide introductions and sales support for Multicortex and to work together in good faith to negotiate appropriate sales commissions

Who knows? Maybe business objectives in JV changed. Maybe financial changes good or bad have changed for either entity. Maybe both. But its important to remember HMBL is transitioning/transitioned into a holding company. Thiago is the bigger fish in this now negotiable JV. In the end the JV is only a JV and not a formal partnership. The JV is a temporary revenue stream that Thiago would get a bigger piece of until whatever project/projects both entities are looking to tackle together is completed. Once whatever those projects are completed both entites go their separate ways until they want to JV up again or shake on a formal partnership.

For arguments sake let's say it does fall through completely. Well that's the nature of the business if you're a holding company. JVs and Subsidiaries come and go based on business needs. With both parties looking to negotiate in good faith on better terms while Thiago supports Multicortex a bit while negotiations go down points more towards a more favorable deal later. Otherwise just announce "unwinding" and nvm. And perhaps that will be the outcome.

Can only speculate and wait to see what happens.
