I get that this is a non typical way to do a "merger" and for sure not a transaction that improved anyone value at the time but in this scenario its actually YCRM that is "buying" all of Reachout and the owners of Reachout will actually own 87.5% of YCRM shares at closing. Seems like a messed up way to structure it but from what I can understand it will not hurt YCRM common stock by any means. Again depending on how they did the math, mine is coming out that for normal shareholders of YCRM common there is no harm.
