Because if such were the case..it would add up to :

$18 Million WSCG
$45 Million added by WSGC
That would total $80 Million and 27.5% of that is $22 Million plus $3,000,000 paid and forgiven by WSCG equals $25 Million
That was never the sale price. The sale price was $20 Million minus the $3,000,000 paid and forgiven by WSCG which equals $17,000,000. Which "was" 27.5% of the $17 Million plus $45 Million($62 Million)
