As a rule of thumb, we need to vote against everything Fernandez wants from here on out (unless it is obviously beneficial for the company). Don't believe anyone who tries to tell you we should vote yes. He has done nothing but fuck shareholders.
If you vote yes under the presumption it doesn't matter anyway, it looks better for management later on (in case there's an additional lawsuit). Sure, they can pass anything they want. That's true. But if the majority of the shareholders who aren't part of the Board vote against these measures, it helps prove the board is breaching their fiduciary duty.
