Yeah, once again the problem is me, shoot the messenger, right? 🙄 We all have more than a clue as to what Shawn Leon is up to. He has been talking a LOT since January with five podcasts. Remember those? You still don't have a clue as to what he is doing or are you being more than a bit disingenuous. Parse his words to understand what he has consistently talked about in all five. He has a regulation "A" offering on the table for badly needed cash for debt and operations, He intends to up-list to the NYSE requiring a stock consolidation into the dollars, not cents, They intend to convert what was more than $7 million in so called friendly debt to equity ownership. The Leons have already converted $2 million owed them into equity representing majority voting ownership. So much else, so we do have more than a clue relative to the future of this above average OTC trash stock?

You sir are the one without a clue, I read the filings. For example refer to the July 12th press release and the statement relative to "management agreement". Now reference "Exhibit C" within document 10.08 - Letter of Intent, from the July 12th FORM 8K pics posted below. See who is managing this ARIA related facility on the first page? It isn't Ethema Health, It is the Evernia Treatment Center or its "registered assign". Use the Sunbiz link below to find that the registered agent is American Treatment Holdings Inc (ATHI), the holding company with its own share structure for the Evernia Treatment center and now the Boca facility as well. There are three managers listed there including Shawn Leon. Check out the compensation potential in the agreement posted below. 😆 not bad eh?

See how layered it is? As you recall on December 30th 2022 Ethema Health sold Addiction Recovery Institute of America (ARIA) to Shawn Leon for $0. Now the Evernia facility, the Boca facility and now the management of the Edgewater operations are all referred to as ARIA facilities. An August 2020 press release states "...Evernia has registered a DBA for doing business as Addiction Recovery Institute of America..." Next is the September 2020 press release with the statement that the Evernia treatment center has licensed the name Addiction Recovery Institute of America (ARIA). Shawn Leon has been developing this brand since acquiring and it is used for all operations under American Treatment Holdings Inc (ATHI), separated with its own shares structure and stakeholders. Buy wait, the reason stated in the 2022 annual for the sale of ARIA to Shawn Leon was "...as they were no longer core to the business..." wow. 🙄

What you just got is the "cliff notes" version of this subject alone. This and other questionable conduct for this company is complex and layered for a reason. Are you beginning to see why I believe this is a scam? Getting some sense of why we are seeing the new positioning by the insiders who include the the millions held by the so called "friendly debt holders" Stay tuned for developments and you can bet that it will not be good for current shareholders in my opinion.

Along with the signing of the LOI, the Company signed a management agreement with ERC to take over management of ERC effective Monday, July 15, 2024. It will be effective until the purchases of the companies are completed on January 31, 2025 whichever comes first. During the management period the company will do business as ARIA-Edgewater and will be renamed ARIA after the closing.
