A) You can do it in reliance on Rule 155 (c) so you can withdraw previous issue of shares but you reserve the right to do so in the future.
" If the registrant is requesting withdrawal in reliance on Rule 155(c), they must state in the application that they “may undertake a subsequent private offering in reliance on Rule 155(c).”
B) You can do it under paragraph (a) of Rule 477...and that implies that YOU WON'T ISSUE ANY SHARES...BECAUSE THE COMPANY IS NOT CURRENTLY PURSUING A PUBLIC OFFERING OF SHARES.
