Thus, it intends to include a Restrictive Clause, forbidding Reverse-Splits for two years minimum after closing the deal, in all of its merger agreements.
I can recheck but no once the change of control takes place. 2year no R/S clause after it. Also a clause against what is called “unreasonable dilution”. Frank created a control block of 500 preferred shares though at a ridiculous conversion rate. Was told this was common place for his plays but this is the first one I really looked into. But most likely after everyone thought he no longer has connection he was brought back on as consultant. Concerned of things dragging out with him being added back as consultant because they claim to have a “hiccup” processing the change in control. Could be days or weeks honestly. But I think it goes.
