final closing of the transaction when a Form S-4 registration statement to register the consideration shares to be issued by Registrant is filed with and declared effective by the SEC.

Just remember it’s not when they file the S-4 it’s when the SEC declares it effective. There can be months of back and forth with Amendments etc etc.
