#22051 RE: LJ-Bodhi #22025

Okay so I will try to give you an example, I'm going to do my best to explain this in writing but I'm not sure if I will be successful lol. In this SEC filing from January https://sec.report/Document/0001493152-22-001360/ on page 60 it shows Ray's commons to be 322,086,324 (58.3% of the common stock), same percentage shown on yesterday's filing https://www.otcmarkets.com/otcapi/company/financial-report/322616/content . The difference of 322,086,324 and 466,305,246 is 144,218,922(you also get the same number when you subtract the O/S from the A/S), this is the max number of shares that he can convert from preferred if he chose to based on the current A/S. The following is from Note 7 on page 60.

(7) Mr. Sunandan Ray owns 322,086,324 shares of the Company’s Common Stock. In addition, Mr. Ray owns 667,738 shares of Series B Preferred Stock which convert at a rate of 6,546.47 shares of Common Stock for every 1 share of Series B Preferred Stock. The Company is limited to 800,000,000 authorized shares of Common Stock. The Beneficial ownership percentage only considers the common shares that can be converted up to the authorized number of common shares.

Who ever did yesterday's filing should have just broke it down like the other filings, they just confused things doing it the way they did.
