The acquisition is off the table. They are working together but they will not become a wholly-owned subsidiary. They are now both independent companies.

So, Sinensky and his associates get to keep how much money and shares of OPTI, and for what reason? Or, will tens of million of dollars of S/H equity be returned to S/H? (Those are rhetorical questions; we’ve seen the Roger Pawson playbook before.)
