The Company sold 41,667 shares of common stock to an investor at $0.24 per share for cash proceeds of $10,000. The Company sold 4,050,000 shares of common stock to investors at $0.10 for cash proceeds of $405,000. The Company issued 1,446,250 shares of common stock as compensation to consultants in the amount of $354,637. The Company had a cancellation of stock subscription of 500,000 shares totaling $20,000.
