The 8k explicitly states a Cash payment equal to $8.2 Mil by LAHO for the repurchase of all of its shares.

No preferred shares or conversion to deal with

“The Company pay LAHO, by delivery in escrow, an amount equal to USD $8,200,000 (“Cash Payment”), which Cash Payment shall be used by LAHO for the repurchase of all of its shares of common stock from its common stockholders". Seems like cash payment to me.
