Travis Huff of Golden gate(the author of the C/D) told me that if shares are in escrow they are in essence shares held for a future payment of a loan(at that day's market price based on the loan amount). They are UNISSUED shares and part of a A/S and do not affect the O/S or the PPS!

Better than dilution boys! Heck if FCCN wants to get a couple of million bucks to complete this merger without dilution and affecting the O/S of 76m, I'll take it! It will be a long time before Golden Gate will have to be given those shares and by then we should have a very healthy PPS indeed! Mr. TrendGreen

So let me get this straight the original loan amount 0f 220K of pledged shares are still setting there now and are not contributing to the selloff or current float?

That's not true Mr.Green, those shares do count toward the OS, that's why the 14A says 920,558,174 shares issued and outstanding. I hate to say it but I think Peacock really blew it. All he had to do was come in, give them their 220k and be done with them. He should have been able to get the other $1.5 million from a better place than GG, plus it would have just been smarter to get the old BS cleaned up and off the books. You can bet Aero isn't going to just take 200 million shares now, it will most likely be at least the rest of the AS, if not more. If you're Aero with this 800 million shares sitting over your head, you either decide not to complete the merger or make sure you get 95% of the shares, which would be about 18 billion shares with this 920 million out. Bad Peacock!!! He really blew it for all of us, I know I thought this would be a life changer. I know you got in early and made some good chedder, something is better than nothing until they clear this whole mess up. If I was Aero I'd get a different shell.IMO

OK. Now i understand.

So, Mr. Peacock
as part of cleaning up the shell has got a
settlement with GGI to let go of the litigation they
have
- in exchange FCCN got a loan of 1.5M; plus no further
action on the previous 220K; and lock up the
disputed shares in escrow for 2 years.

so this is the 1.5 M $loan they were talking about in the 8k
from FCCN to aero as good faith to complete merger.

Ever heard of convertible financing and a death spiral?? Those shares are issued when the loan is taken out, meaning at TODAY's prices, not at a dollar. Hence the almost a billion shares.
