The 5 Million Preferred Shares were issued specifically in order to acquire the LLC and with it the Jupiter, Florida Building. The 10 Million Common Shares would only show up if it were more the 5% of the outstanding shares. Clearly it is not over 5% so the shares do not show up.
I can not speak to the W2D deal, as I was not a share holder then. I would not extrapolate what happen in one deal as proof of what is happening now.
