The Company contracts with a certified laboratory to screen and confirm its customers’ Sweat Patches. This laboratory must maintain certifications and licenses with several government and professional agencies. In addition, the laboratory must voluntarily participate in external proficiency programs to maintain such certifications and licenses. After providing certain notices, the laboratory can cancel the agreement with us. Such action could severely impact our ability to provide these services to our customers until another similarly certified laboratory is identified, which can provide protocols and standards currently used for sweat testing at a comparable cost.

Translation: although it it true we use one lab and in the past it was especially critical to maintain this relationship cause we did not have a back up but now in the present PCHM is armed with cash ready to deploy if need be
~ 1 we could now afford our own lab not 1 but 2 shinny new machines
~ 2 PCHM has been in active negotiation with not 1 but 2 interested parties
~ 3 for these reasons outlined PCHM is now in a position of strength to better dictate the terms that would be acceptable to benefit our position

We are expecting the strong sales for PharmChem to continue and possibly grow even faster in the second half of 2020. Added to that, the company has made it clear that it is for sale at the right price

The why translation: that makes it of no concern at all ...

In 1992, we entered into agreements with a supplier and manufacturer to furnish us with Sweat Patches. Several defaults occurred resulting in our assuming responsibility as the manufacturer of the Patch. While unlikely, the original manufacturer may claim a violation of the initial supply agreement. Also, we are responsible for future minimum lease payments of $13,000 for our office space.

Result: "resulting in our assuming responsibility as the manufacturer of the Patch."
Solution: although currently we have just one lab don't fret not for second that we would not act as we did in the past with the manufacturing potion of our process and assume the responsibility of the lab

Question if it's not PMD who might the second suitor be I think we have Identified more than just 2 in the past but Might it be a GDX or
an EXAS (someone funded this study) [LINK] (who could not only use the existing model to pay for itself but also expand broader usefulness of the Patch in a TeleHealth setting) EXAS could be the right buyer who can take the Patch to a multi billions in revenues ( not to say PCHM as a stand alone don't have a shot at the Billion we most certainly do)

LMLYP:

I more than acknowledge this risk, reflecting on whether this has kept management up at night for two decades.

my guess is for the 4 hours a night he probably sleeps LIKE A BABY
