I think it was the latter.
Was there an immediate business or personal need (or opportunity) for Medico to make alot of money quick by doing the R/S??? If so, in what way did he pocket the gain?

The statement that letters were mailed out to shareholders is fraudulent to me.
He didn't say "majority shareholders", even though they hold the power of the vote.
