I don't understand the need for all that complexity either, but it appears the management wants those warrants exercised quickly if the stock price goes over $18.
The stock has to stay at or above $18 for a month or so, before they can do that $0.01 call of the warrants, so there will be time to exercise them before you wind up with a penny instead of a share of NKLA for every warrant you hold.
