He is not required by any law or regulation to make a disclosure. As a non-reporting entity, the “insiders” are not subject to the reporting requirements of Section 12 of the Exchange Act.
It is a good idea to do so regardless...as there are selling limitations of an officer, director or affiliate under Rule 144.
...but to be clear, as a non-registrant there is no “legal” requirement to do so.
