'On March 1, 2019, the Company executed an Agreement and Plan of Merger with AMNC Merger Sub, Inc. and Vertical Exchange Capital, Inc. wherein the Company intends to effect a merger of the Company with and into AMNC Merger Sub, Inc. Upon the consummation of the merger AMNC Merger Sub, Inc. will become a wholly owned subsidiary of the Company. Due diligence is still underwayas of the time of filing between all parties under the agreement and plan of merger.'
