My opinions are based on the facts within GDSI's First Amended Complaint (FAC). This is the Complaint that had to be filed because the Court GRANTED Rontan's Motion to Dismiss the Original Complaint without Prejudice for FAILURE TO STATE A CLAIM UPON WHICH RELIEF CAN BE GRANTED.
GDSI failed to meet the Conditions Precedent rule of law in their Original Complaint Their FAC not only validates they didn't meet Conditions Precedent, it states Delgado modified the SPA. This was done without Rontan's approval.
GDSI also made commitments in the SPA they could never fulfill.
