K..19, under HERA, it is legal to do SPO/IPO at least upto now that is what the view of courts, after en banc it may be different. Fifth Amendment doesn't say they cannot do it but if they do it they must compensate. IMO that is what MC said that he need to talk to UST of payout shareholder.
