Look at the definition you posted...a pure “consolidation” results in a new company.

Securities registrations are not “transferable”. It sticks with Vystar.

There are really only two ways to get Rotman Furniture and Vystar together and remain a publicly traded entity.

1) a reverse merger between Vystar and Rotman’s
2) an acquisition of Rotman’s by Vystar so Rotman’s ends up as a wholly owned subsidiary.

If I understood what I read correctly, I read that in a RM uplisting to the NASDAQ is not permitted for 1 year, and that also a share buyback is restricted for 1 year also.

This is a Consolidation (stated by GR in an email that was posted by someone a while back)

NOT a Merger.
