what does 'calling the PR' mean? Look, I want the truth.

One side is right and the other is wrong.

Personally, I've gone back and forth on this today, but I think what TenKay is saying makes the most sense.

Consider:

1. If SC were getting units that aren't part of the offering, where is the registration for those units?

2. If you agree that SC is getting units that are part of the offering then they are getting them from AGP, right?

3. If getting them from AGP like the others did, then the SC cash is part of the $20m, so no additional cash was raised. Let's follow the money:

3a) AGP gets units and pays VERB $20 for them. At this point AGP is done paying VERB. All the units are paid for

3b) VERB pays SC $15m

3c) AGP 'places' the units with whoever is buying them. SC is one of the buyers. AGP gets paid from all buyers -- in effect reimbursing the $20m. Therefore SC pays AGP the $4m. Not VERB. VERB already got their money from AGP.

CONCLUSION: VERB doesn't get any extra cash from this transaction. One can see this as a vote of confidence by SC, but it is not a cash infusion to VERB.
