Exact language in the Promissory note and related SPA documents with clauses are the part of the total contract. The Judge has to interpret this under NY laws but the situation is further complicated because EMA is a Delaware Corporation and as per Vystar Lawyer's filing of 4-12-2019, EMA is trying to use both Laws of NY (supposedly they are lenient Vs. Delaware its more stringent re: evidence)
So EMA as a Delaware Corp. under Delaware stringent rules re: evidence is trying to use lenient NY laws under NY Court Judge in their favor.
It does complicate matters further and will get very expensive for both from legal fees prospective, if it drags on.
They both should settle it soon but the Lawyers would make it drag on to run their clock for fees as often happens in real world. jmho
