The reason for the R/S is simple. They have no money and no funding, so they have to print and dump shares to survive. The A/S is one billion shares and if they don't do a R/S the O/S will reach that one billion threshold within six months.
I assume you know from DD on the two previous R/S's that when they do a R/S they do not decrease the A/S.
