Just like that from my DD. Very simple.
This current pps is based off of a start up company with little revenue on the OTC. The new entity will have solid revs, cash on hand, be on Nasdaq (just that alone is worth over a buck IMO). Comparing this Fusz to the new Fusz is far from apples to apples. Any underwriter will see that. The underwriter has an incentive to get the price up. Do some DD to see why and what they get.

I have also spoken to 2 individuals in IPO land who immediately looked up the Fusz IPO filing. Looked at the attorneys and the auditor. Both gave a thumbs up and were very familiar with them. Said we have have a great auditor. This is going to happen. IMO

The underwriter will establish a price for the additional shares of common stock they will be marketing based on the pricing of the common stock that is already on the market. Period. There is no magic coming that will make them value the stock more than it is being sold for today in the same market, if they did, they'd be stuck with a lot of stock.

This is not an IPO. IPO's are for companies whose stock is not being publicly traded, that disqualifies nFusz.

The 2 individuals you have spoken to are dead wrong.
