OWCP was was named in the Shell Factory complaint filed by the SEC against Asher Zwebner.

OWCP was named in the SEC complaint against Friedland as providing a fraudulent 144 Opinion letter from a disbarred attorney so that Friedland could have the Restrictive Legend removed from the stock certificate.

Then the coup de grâce was in the OWCP:

We may expend a substantial amount of time and resources in connection with SEC or stockholder-related inquiries or legal actions related to an ongoing investigation by the SEC.

In March 2018, we received a non-public subpoena dated February 16, 2018 issued by the SEC ordering the provision of documents and related information concerning certain of the issues involved in the Friedland Matter. We are in a process of responding to the subpoena and intend to fully cooperate with the SEC...
