So it doesn't make sense that they would go to all the trouble JBZY has gone through to just stay dark and try to scam people.

And why not? It's more normal than a company going dark with filings because they are growing too fast.

As for the tick they convert at, it's meaningless. When you can create new shares for nothing, the conversion rate simply increases as the share price fades away. Whatever the bid can support. It's about dollars harvested from retail. Share conversion rate and the tick level will become increasingly divergent as the dilution progresses. That is the OTC norm.
