My questions have nothing to do with whether IPIX could file the S-3 and register the shares but rather whether there are potential limitations on the sale of those shares (aka a transaction). Note that the quoted Instruction covers Transaction Requirements. There is a separate section for Registrant Requirements (1.A.) which the Company obviously met before filing the S-3.
