NFC Fund is a PRIVATE company, not public. That trumps your argument.

One more time: Ekejija SAID he filed an SEC document. A Form S-6. He did not do that. This is not complicated.

It makes no difference whether Ekejija's company is public or private. In some circumstances--such as when they want to do Reg D exempted offerings--private companies must file with the SEC. And Frank said specifically that he'd filed an S-6 to register securities.

Had he actually done so, he'd have been obliged to file periodic reports to the SEC:

Subject to the terms and conditions of Section 15 (d) of the Securities Exchange Act of 1934, the undersigned registrant hereby undertakes to file with the Securities and Exchange Commission such supplementary and periodic information, documents, and reports as may be prescribed by any rule or regulation of the Commission heretofore or hereafter duly adopted pursuant to authority conferred in that section.

And that is another way we know he never filed that S-6. So why did he say he did? Just having everyone on?
