It looks like all candidates will be vetted BEFORE making a recommendation to the BOD.

Having these Rascals vet any names is the equivalent of taking a wet cloth and touching it to those names. There, is that "vet" now? ;-)

OK, facts:

1) You asserted the new BOD candidates were vetted by an outside agent. As proof, you quote:

Peregrine will be working with a nationally recognized executive search firm to assist in identifying highly qualified candidates for the Avid President and Board of Directors positions.


Sorry, hiring a search firm is not the same as the firm vetting them.

On the flip side the SEC docs state:

The Nominating Committee determined that Mr. Bamforth is qualified to serve on the Board due to his 30 years of extensive leadership experience and expertise in the contract development and manufacturing sector.



2) You assert ALL bod candidates are vetted by the nominating committee (and subsequently this effects Ronin's slate).

That is simply wrong. The committee suggests the company slate, and the full board decides it. This has nothing to do with an opposition slate

3) You assert Perigrine approved the BOD members.

This demonstrates a basic lack of understanding of the parties. The BOD is an instrument of ownership to oversee management. The company can never select the BOD.
