Actually, they are restricted shares, and it came straight from the common stock. AMD compensates their executives by diluting the stock of their shareholders. We've already covered this in a few other posts. You can probably search for Rivet's name and get all the info.

At no time during the last 10 years has AMD stock had a market value of 1 penny. These were gifts to AMD executives.

Instead of the cash from AMD's limited supply, they were give shares that took value from shareholders through dilution.
