Let not say buy. Let's say change ownership. You can change ownership by having more than 50% in newer ownership which will trigger limitation rules. Even with limitation rules triggered, it's not that bad depending on circumstances. That was the Berkshire case with fnf. They just wanted majority ownership thus we say buy.

A merger acquisition is the best route with us retaining 51% thus not triggering limitation rules. This is preferred. So, there is two options we own 51% or less than 50%.

Also the difference between wamu and Lehman is Lehman is an investment bank. Wamu was not. Lehman have more choices for mergers and companies that can utilize their N OLs.
