SIAF is not "Dark" or near it



I know. My point was, the (only) implication of having less than 300 shareholders of record is that they CAN go dark officially, by filing a Form 15, if they want to.

But it's for troubled companies who can't pay the bills. If SIAF would do such a thing, they would face litigation from the shareholders as they are not performing their duty. AND, if the number goes up again above 300 then they would have to file again.

What usually happens in the China space though is that companies go dark unofficially. They simply stop filing. Then the SEC can revoke them if they had a senior listing previously (and are obligated to file).

In your case, ELCO, they did it officially by filing a Form 15 in 2008. And it's pretty obvious why, because they were losing money.
The SEC won't revoke (deregister) such a security.
