Why is it you all keep pointing to the IRS as having rules that apply to the stock market? They do not any more than the SEC has rules that apply to the tax codes. That IRS Code applys to the taxable consequences relating to a reverse merger and it has absolutely nothing whatsoever to do with the market. Think about it for just a moment
