Synopsis: Family-Appeal "Fantasy" Adventures films rank among the highest grossing movies of all time. Bridging the commercial markets for both kids and adults, fantasy adventures have an evergreen value and a worldwide appeal, "Mother Goose: Journey To Utopia" builds on the awareness and characters from the infamous "Mother Goose" fables, and combines it with the audience-friendly element of "transportation to a magical world." The result is a pleasing and commercial adventure that is ideally positioned to become an entertaining and popular movie experience. With major star casting - including Academy Award Winner SHIRLEY MACLAINE as "Mother Goose" and SAMUEL JACKSON as "Valkerna" - this film could achieve the stature of other, comparably themed films, including "Chronicles of Narnia", "Tim Burton's Alice In Wonderland" and the recently released "Oz: The Great and Powerful."

"Mother Goose: Journey To Utopia" tells the story of young Jack and Gillian, two pre-teen kids from modern-day America. In researching a homework assignment, they stumble upon a mysterious and dusty old book of Mother Goose rhymes. Upon opening the book, they are pulled from their world and thrust in to the magical - and fantastical - land of Utopia and Mother Goose. Here they are faced with the challenge of saving Mother Goose from an evil villain, Valkerna, who believes that children no longer have any imagination. As Jack and Gillian proceed on their journey, they run into a variety of amusing and enchanted characters who provide various forms of advice and assistance to help them save Mother Goose. In the end, though, it is the imaginations of Jack and Gillian to save the day, and return them to their own world.

* Locomotive or Tent-Pole Release "Mother Goose: Journey To Utopia" that will change HHSE (Lionsgate Moment)

* Designed to be an "Event-Level Feature Film Franchise

* Builds on the Massive AWARENESS of the Principal Characters

* According to "The Top Ten of Everything" the number of "Mother Goose" printed books worldwide ranks #3 among all properties, behind only "The Bible" and "The Koran".

* Surprisingly, no Studio has produced a live-action, family-appeal feature film around the "Mother Goose" Franchise.

* Samuel Jackson & Shirley MacLaine attached

* Ideally, would like to release "Mother Goose" November 2017.

* Cross Promotion being established with Major Restaurant Chain that may push back release because they will be buying Millions Dollars Network Time for Cross Branding

* Either way, "Mother Goose" will be ready by late 2017.

* "Mother Goose" rumored budget about $10M, other similar Titles might cost 10 times that.

* HHSE owns lot of our own production equipment, we have a facility that works as the insert stage, we have a truck we have all lights and and lighting equipment, and group equipment and post production equipment. So these are things that can save us literally millions of dollars.



* HHSE paying Wholesale whereas lot of the other movies you see out there are paying Retail plus a Premium.

* HHSE Developing "Mother Goose" (rather than bidding for completed project) for minor Costs with maximum Control.

* HHSE Controls everything, from Conception, Story, Characters, Cast, Production/Direction, Distribution.

HHSE Eventually to own "Mother Goose" Copyrights and all Ancillary Markets, including International Rights (which many times are more lucrative than U.S. Rights).

* The State of Arkansas offers three separate incentive and rebate programs for financing Original Film Productions. Based upon eligible expenditures, up to forty-two percent (42%) of some production budgets may be provided through rebates by the State of Arkansas.

* For a movie such as "Mother Goose: Journey to Utopia," these State of Arkansas Incentive/Rebate Programs are expected to exceed two-million dollars (USD $2,000,000).

* Very big Venture, very complicated to raise the money.
1.) Biggest component of the money was the three State of Arkansas incentives for original productions:
- a) 15% across the board
- b.) 10% for Arkansas entities and residents

HHSE STOCK BUY BACKS, Shares Retirements











2). $$$ STOCK BUY BACKS $$$
- HHSE has made direct purchase agreements with three, non-affiliated shareholders, to purchase 1.2-million shares at $.01 each. These shares will be retired into treasury stock. As long as the share price remains artificially low, we will continue to buy shares and retire them to treasury, as cash permits. The Company had to delay the process of buying back shares due to the loss of cash flow from the bankruptcy of Alchemy / Anderson, and the non-bankruptcy cram-down of Allegro Music Group. While the financial woes of those two wholesalers did impact cash flowing into HHSE, it was most notable for optional issues, such as stock buy-back opportunities, as the Company has otherwise managed it's operations and payables through other cash flow means. It is also notable that HHSE has not issued a single share of stock in over a year (for any purpose), and that the two principal managers (Parkinson and Shefte) have not sold any shares in three years. As a non-reporting entity, HHSE is not required to file a Form 8 regarding the stock buy-back... but we will disclose this in our upcoming year-end filings and the Form 10 registration.
