I'm going to step out on a limb here and say that the auditor who does the books cannot be the same auditor that does your sarbanes oxley compliance requirements

I believe that the accounting firm that does the "bookkeeping" ie who prepares the financial statements, cannot be the same firm that issues the audited financials that are part of the 10K. If that were the case, they would be auditing their own work.
