You're missing the point.

Why does it take a shareholder to point out what highly paid Directors/ Executives such as Paul Parliament, Martin Wolfe, Douglas Brooks and Richard Kaiser should have noticed in the first place.

The fact that they all missed this in the filling indicates blatant incompetence on their part.
