KEYSTONE OFFICERS AND DIRECTORS

THOMAS E. MURRAY, JR., Chairman of the Board, is Corporate Secretary and Director for Hercules Funding, Ltd., an East Coast consulting firm. From 1991 to 1993, he was director of Westfed Holding, Inc., a $5 billion Savings and Loan institution, controlled by the family of former Secretary of the Treasury, William E. Simon. From 1968 to 1974, he was Director of Acquisitions for billionaire Howard Hughes. Mr. Murray is the son of the former Chairman of the Atomic Energy Commission and grandson of the co-founder of Con Edison, New York. He also has over 24 years of experience as an Investment Advisor.

R. RICHARD SAXBY, President, CEO and Director, is a results-oriented executive with extensive background in utility auditing and marketing in the electricity, water, gas and telephone industries. He is co-founder of Keystone Energy Services, Inc. and was formerly the CEO and President of Quantum Communications & Energy, which organized more than $1.7 billion in utility billing, saving end-users millions of dollars. Mr. Saxby was the founder, President and Chief Operating Officer (COO) of Paradigm Industries, a developer and manufacturer of an electronic energy-saving ballast which currently trades OTCBB.

ULLI H. BUTZKE, CPA, CFO, has over 20 years of experience in senior financial planning and management in corporate and public accounting, including financial reports to shareholders and the SEC. After 3 years as Audit Supervisor with KMPG Peat Marwick, he spent 20 years with National Medical Enterprises, Inc. (NME) a Fortune 500 company, as Corporate Office Controller and Assistant V.P., Controller. At NME, he managed the financial operations and expenditures for real estate holdings and directed the development of data bases for over 300 facilities with assets of $2.5 billion book value, prepared $500 million annual cash flow projections and $73 million annual operating budgets.

CAMERON JORDAN SAXBY, Executive V.P., COO and Director, has assisted on an executive level in the management of energy industry companies since 1995, and is a co-founder of Keystone Energy Service, Inc. For more than 14 years she has been an owner and founder of businesses with extensive experience in operations, management, budgeting and manufacturing. She was the owner and President of Samba Corporation, where she supervised and managed a line of accessories sold internationally through a national sales force. She is also Assistant Corporate Secretary, assisting with these duties as necessary.

VALERIE L. CORRADO, Corporate Secretary and Director Elect, has more than 18 years of experience as a self-employed corporate consultant to several companies undergoing securities offerings, assisting with SEC and State regulatory filings, board meeting minutes, public relations communications for shareholders and stockbrokers, and more. She is a former stock broker and has been corporate Secretary of two other public companies, Printron, Inc. (AMEX-ECM & OTC) and Canadian Tasty Fries, Inc. (OTC). She was also an officer of seven private companies and a director of four of them.

A. ST. GEORGE B. DUKE (PONY DUKE), Director Elect, is an owner and Director of Ballard Petroleum LLC, a company he was instrumental in helping to finance in 1993. He is currently active in the gas and oil business. He is also an owner and Director of the United Bank of Absarokee MT, and has had an active career as an investor and financial consultant. In 1986 he co-founded Duke and Nakatani, Inc. and managed the company's successful art and real estate business until 1992. Mr. Duke is the son of Angier Biddle Duke, former Chief of Protocol and Ambassador to Spain under President John F. Kennedy. A graduate of Duke University, named for his great great grandfather, he is director of the Duke Family Association and a Trustee of the Rocky Mountain College in Montana.
