CPSS looks like a shelf filing to me meaning it could be years before they issue shares and at unknown prices. It's just ready to go if and when the need arises. Not too say it may place a dark cloud over this one. Mgmt should step forward and clarify their intent.

From the prospectus: This prospectus describes our offer of common stock, preferred stock, debt securities, warrants, rights, stock purchase contracts, depositary shares and units from time to time at prices and on terms determined at or prior to the offering. We may offer these securities up to an aggregate offering price of $100,000,000.

CPSS back over $6, not that concerned about this too be honest.

1) Well it is a mixed shelf offering, which means it could be debt securities as well as common.

2) The 100 Million is probably waaaaaaaaaaaay more then they need, as you always ask for more then you need so you don't have to file again, so doubt it comes anywhere near 100 million, and I highly doubt all of it is equity.

3) Not thrilled about the 3.5 million shares by existing shareholders. Stock is too cheap to sell.

4) Often times these S filings are made, but are never acted upon, and are just there to have the paperwork there if something comes up, such as and acqusition.

However I wish management would do somethiong positive like initiate a .10 a quarter divy, or announce a huge buyback which would make 0 sense after what they just announced today. Granted I don't see these thing happening now. stock is too cheap to sell, I feel the stock is worth and 8-10 PE, but right now the market thinks it is lucky to get a 5 fully taxed. All in all I don't see this filing as anything really negative (especially at current prices), as all the negativity in my opinion has been priced in and more. In fact I was tempted to buy some in the 5's premarket. All is just my opinion, and I could always be wrong though.
