They filed to sell $500k of stock a couple of weeks ago. They need to raise money to pay off the 60 day loans used for the Bucha acquisition.
My guess is that he was having a hard time rounding up investors. Forgiving the debt makes the balance sheet look better and, therefore, makes it easier to sell the stock.
